By accessing and using the StratInvest website located at strategicinvest.com and any associated services, mobile applications, or platforms (collectively, the "Services"), you enter into a binding legal agreement with StratInvest Investment Management LLC, a registered investment advisor organized under the laws of Delaware with principal offices at 350 Fifth Avenue, Suite 4820, New York, NY 10118 (referred to as "StratInvest," "we," "us," or "our"). These Terms of Service govern your access to and use of our Services. You represent that you are at least 18 years of age and possess the legal capacity to enter into this agreement. If you are accessing the Services on behalf of a business entity, you represent that you have the authority to bind that entity to these terms. Your continued use of the Services constitutes ongoing acceptance of these terms as they may be modified from time to time.

2. Description of Services

StratInvest provides comprehensive investment management services, wealth planning solutions, and financial education resources to qualified investors. Our Services include but are not limited to:

• Discretionary investment management through various portfolio strategies including Balanced Portfolio, Growth Accelerator, Dynamic Opportunities, Dividend Income, International Diversification, and Institutional Plus programs
• Personalized wealth management and financial planning services encompassing retirement planning, tax optimization strategies, estate planning coordination, and risk management advisory
• Access to educational materials, market research, investment analysis, webinars, and portfolio performance reporting tools
• Client portal services providing secure account access, document storage, transaction history, and real-time portfolio monitoring
• Consultation services with registered investment advisors regarding investment strategies, asset allocation, and financial goal planning

All investment advisory services are provided exclusively to clients who have executed a formal Investment Advisory Agreement with StratInvest. The information provided on our website is for general informational purposes and does not constitute personalized investment advice. Specific investment recommendations are provided only after a comprehensive assessment of your individual financial situation, investment objectives, and risk tolerance through our client onboarding process.

3. User Obligations and Acceptable Use

As a user of our Services, you agree to comply with all applicable laws and regulations and to use the Services only for lawful purposes. You specifically agree that you will not:

• Use the Services in any manner that violates federal or state securities laws, anti-money laundering regulations, or financial services compliance requirements
• Provide false, inaccurate, or misleading information during account registration, client onboarding, or in any communications with StratInvest representatives
• Attempt to gain unauthorized access to any portion of the Services, other user accounts, or computer systems or networks connected to the Services through hacking, password mining, or any other means
• Use any automated means including robots, scrapers, or data mining tools to access, monitor, or copy any content from the Services without our express written permission
• Interfere with or disrupt the operation of the Services or servers or networks connected to the Services, or disobey any requirements, procedures, policies, or regulations of such networks
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity in connection with the Services
• Upload, transmit, or distribute any computer viruses, worms, malicious code, or any software intended to damage or alter computer systems or data
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services for commercial purposes without express written consent from StratInvest
• Use the Services to transmit spam, chain letters, or other unsolicited communications, or to harass, threaten, or intimidate any other users
• Collect or store personal data about other users without their express consent or for unlawful purposes

You are responsible for maintaining the confidentiality of your account credentials, including username and password. You agree to immediately notify StratInvest of any unauthorized use of your account or any other breach of security. StratInvest will not be liable for any loss or damage arising from your failure to protect your account information. You acknowledge that you are solely responsible for all activities that occur under your account, whether authorized by you or not.

4. Intellectual Property Rights

All content included on or made available through the Services, including text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, software, proprietary investment models, research reports, and the compilation thereof (collectively, "Content") is the exclusive property of StratInvest or its content suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. The StratInvest name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of StratInvest or its affiliates. You may not use such marks without the prior written permission of StratInvest. All other names, logos, product and service names, designs, and slogans on this website are the trademarks of their respective owners. Subject to your compliance with these Terms of Service, StratInvest grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services and Content solely for your personal, non-commercial use. This license does not include any right to: (a) resale or commercial use of the Services or Content; (b) collection and use of any product listings, descriptions, or prices; (c) derivative use of the Services or Content; (d) downloading or copying of account information for the benefit of another party; or (e) use of data mining, robots, or similar data gathering and extraction tools. Any unauthorized use of the Content or Services terminates the license granted by StratInvest.

5. Disclaimers and Investment Risks

StratInvest provides the Services and all Content on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permissible under applicable law, StratInvest disclaims all warranties, express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement
• Any warranties regarding the accuracy, reliability, completeness, or timeliness of any Content, investment recommendations, performance data, or market information provided through the Services
• Any warranties that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components
• Any warranties regarding the results that may be obtained from the use of the Services or the accuracy or reliability of any information obtained through the Services

Investment Risk Disclosure: All investments involve risk, including the possible loss of principal invested. There is no guarantee that any investment strategy will achieve its objectives or that any portfolio will perform profitably. Past performance is not indicative of future results, and you should not assume that future performance of any specific investment, investment strategy, or product will be profitable or equal to past performance levels. Different types of investments involve varying degrees of risk, and there can be no assurance that the future performance of any specific investment, investment strategy, or product made reference to directly or indirectly through the Services will be profitable, equal any corresponding indicated historical performance level, be suitable for your portfolio or individual situation, or prove successful. Market values of investments will fluctuate, and investment returns will vary. Economic, market, and other conditions may cause investment values to decline. You may lose money on your investments, including your original investment capital. StratInvest does not guarantee any minimum level of investment performance or the success of any investment strategy.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall StratInvest, its officers, directors, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; (d) unauthorized access, use, or alteration of your transmissions or content; (e) investment losses or portfolio underperformance; or (f) any other matter relating to the Services, whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory, and whether or not StratInvest has been informed of the possibility of such damage. In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, StratInvest's liability is limited to the maximum extent permitted by law. In no event shall StratInvest's total aggregate liability to you for all claims arising out of or relating to these Terms of Service or your use of the Services exceed the greater of one hundred dollars ($100 USD) or the amount of fees paid by you to StratInvest during the twelve months preceding the claim. This limitation of liability applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise, and will survive even if any limited remedy specified in these Terms of Service is found to have failed of its essential purpose.

7. Indemnification

You agree to defend, indemnify, and hold harmless StratInvest and its parent company, subsidiaries, affiliates, officers, directors, employees, agents, partners, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of these Terms of Service; (c) your violation of any third party right, including without limitation any copyright, trademark, trade secret, or other property right, or any right of privacy or publicity; (d) any claim that your use of the Services caused damage to a third party; (e) any inaccurate or misleading information you provide to StratInvest; or (f) your violation of any law or regulation. This indemnification obligation will survive the termination of these Terms of Service and your use of the Services. StratInvest reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate fully with StratInvest in asserting any available defenses.

8. Third-Party Links and Content

The Services may contain links to third-party websites, services, or resources that are not owned or controlled by StratInvest. These links are provided solely for your convenience and do not imply any endorsement, sponsorship, or recommendation by StratInvest of the third-party content, products, or services. StratInvest has no control over and assumes no responsibility for the content, privacy policies, terms of use, or practices of any third-party websites or services. You acknowledge and agree that StratInvest shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such content, goods, or services available on or through any third-party websites or services. We strongly advise you to read the terms of service and privacy policies of any third-party websites or services that you visit. By using the Services, you expressly relieve StratInvest from any and all liability arising from your use of any third-party website or service. If you decide to access any third-party websites or engage third-party services, you do so entirely at your own risk and subject to the terms and conditions of use for such websites and services.

9. Privacy and Data Protection

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms of Service by reference. Our Privacy Policy explains how we collect, use, disclose, and protect your personal information and is available at strategicinvest.com/privacy/. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy. You acknowledge that we may need to collect, process, and store sensitive personal information including financial data, investment account information, social security numbers, and other personally identifiable information necessary to provide our investment advisory services. We implement appropriate technical and organizational security measures to protect your personal data from unauthorized access, disclosure, alteration, or destruction. However, no method of transmission over the Internet or method of electronic storage is completely secure, and we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials and for restricting access to your computer or device. You agree to accept responsibility for all activities that occur under your account or password. If you become aware of any unauthorized use of your account, you must notify us immediately at [email protected].

10. Regulatory Compliance and Licensing

StratInvest Investment Management LLC is a registered investment advisor with the United States Securities and Exchange Commission under the Investment Advisers Act of 1940, as amended. Our registration does not imply a certain level of skill or training. All investment advisory services are provided in accordance with applicable federal and state securities laws and regulations. Our Form ADV Part 2A brochure, which contains detailed information about our business practices, fees, conflicts of interest, and disciplinary history, is available upon request and can be obtained through the SEC's Investment Adviser Public Disclosure website or by contacting us directly. Investment advisory services are offered only to clients or prospective clients where StratInvest and its representatives are properly licensed or exempt from licensure. No advice may be rendered unless a client agreement is in place between you and StratInvest. The information provided through the Services does not constitute an offer to sell or a solicitation of an offer to buy any securities, investment products, or services in any jurisdiction where such offer or solicitation would be unlawful. Some investment programs may only be available to accredited investors as defined under Regulation D of the Securities Act of 1933 or qualified clients as defined under the Investment Advisers Act of 1940.

11. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or related to these Terms of Service or the Services shall be instituted exclusively in the federal courts of the United States or the state courts located in New York County, New York. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. You agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms of Service. In any action or proceeding to enforce rights under these Terms of Service, the prevailing party will be entitled to recover costs and reasonable attorneys' fees. If any provision of these Terms of Service is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.

12. Dispute Resolution and Arbitration

In the interest of resolving disputes between you and StratInvest in the most expedient and cost-effective manner, you and StratInvest agree that any dispute, claim, or controversy arising out of or relating to these Terms of Service or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Services (collectively, "Disputes") will be resolved through binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights. Before initiating arbitration, you agree to first contact StratInvest and attempt to resolve the Dispute informally by sending a written notice of your claim to StratInvest Investment Management LLC, 350 Fifth Avenue, Suite 4820, New York, NY 10118, Attention: Legal Department. The notice must include your name, address, contact information, the facts giving rise to the dispute, and the relief requested. StratInvest will attempt to resolve the Dispute through informal negotiation within sixty days of receiving your notice. If the Dispute is not resolved within sixty days, either party may initiate binding arbitration as the sole means to resolve the Dispute. The arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes. The arbitration will be held in New York, New York, unless you and StratInvest agree otherwise. Payment of all filing, administration, and arbitrator fees will be governed by the AAA's rules. You and StratInvest agree that any Dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You and StratInvest expressly waive any right to file a class action or seek relief on a class basis.

13. Account Termination

StratInvest reserves the right to suspend or terminate your access to the Services, in whole or in part, at any time, with or without cause, and with or without notice, for any reason including but not limited to: (a) breach of these Terms of Service; (b) if required by law or regulatory authority; (c) discontinuance or material modification of the Services or any part thereof; (d) unexpected technical or security issues or problems; (e) engagement in fraudulent or illegal activities; (f) nonpayment of any fees owed by you in connection with the Services; or (g) extended periods of inactivity. You may terminate your account at any time by providing written notice to StratInvest. Upon termination of your account for any reason, your right to use the Services will immediately cease, and you must discontinue all use of the Services. The termination of your account with StratInvest does not automatically terminate your Investment Advisory Agreement, which is governed by separate terms and may require advance written notice for termination as specified in that agreement. Upon termination of the Services, all provisions of these Terms of Service which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification obligations, limitations of liability, and dispute resolution provisions. StratInvest shall not be liable to you or any third party for any termination of your access to the Services.

14. Changes to Terms of Service

StratInvest reserves the right to modify or replace these Terms of Service at any time in its sole discretion. We will make reasonable efforts to provide notice of any material changes to these Terms of Service by posting the updated terms on our website and updating the "Last Updated" date at the top of this page. For significant changes that materially affect your rights or obligations, we will provide at least fourteen days' advance notice by prominently posting a notice on our website homepage or by sending you an email notification to the email address associated with your account. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms of Service. If you do not agree to the modified terms, you must stop using the Services and notify us of your termination. It is your responsibility to review these Terms of Service periodically for changes. We may also, in the future, offer new services or features through the Services, which may be subject to additional terms or conditions. Your use of such new services or features will be subject to those additional terms, which will be presented to you at the time of first use. We recommend that you print or save a copy of these Terms of Service for your records.

15. Miscellaneous Provisions

These Terms of Service, together with the Privacy Policy and any Investment Advisory Agreement you execute with StratInvest, constitute the entire agreement between you and StratInvest regarding the use of the Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral, with respect to the Services. The following additional provisions apply:

• Assignment: You may not assign, delegate, or transfer these Terms of Service or your rights or obligations hereunder in any way without StratInvest's prior written consent. StratInvest may transfer, assign, or delegate these Terms of Service and its rights and obligations without your consent.
• Waiver: No waiver by StratInvest of any term or condition set forth in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by StratInvest to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.
• Severability: If any provision of these Terms of Service is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that these Terms of Service will otherwise remain in full force and effect and enforceable.
• Headings: The headings and captions used in these Terms of Service are for convenience only and shall not affect the interpretation of these terms.
• Force Majeure: StratInvest shall not be liable for any failure or delay in performance of its obligations under these Terms of Service to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
• Language: These Terms of Service are drafted in the English language. If these terms are translated into any other language, the English language version shall control in the event of any inconsistency or ambiguity.
• No Third-Party Beneficiaries: These Terms of Service do not create any third-party beneficiary rights in any individual or entity that is not a party to these terms.
